The article addresses the process of convergence that has taken place within the legal systems of European countries in the field of corporate governance models. This process has been marked, on the one hand, by the alignment of European frameworks with Anglo-American benchmarks and, on the other, by the increasing receptiveness of US and UK practices to principles rooted in the European tradition. In light of the foregoing, the paper identifies a euro-unitary trend in favour of the one-tier model, conceived as the corporate governance system best suited to support the implementation of the principles set out in the self-regulatory codes for listed companies.

Abstract

The article addresses the process of convergence that has taken place within the legal systems of European countries in the field of corporate governance models. This process has been marked, on the one hand, by the alignment of European frameworks with Anglo-American benchmarks and, on the other, by the increasing receptiveness of US and UK practices to principles rooted in the European tradition. In light of the foregoing, the paper identifies a euro-unitary trend in favour of the one-tier model, conceived as the corporate governance system best suited to support the implementation of the principles set out in the self-regulatory codes for listed companies.
